Northwestern Mutual invites you to participate in a live webinar from its Advanced Planning team on equity compensation. The expert speakers will share strategies and current trends being evaluated by businesses and business owners to retain and recruit executives using equity compensation. The speakers will also discuss how these strategies impact the executives and the considerations they should be thinking about with equity compensation. The program will cover equity compensation strategies including stock options (ISOs & NSOs), restricted stock units, phantom stock, and stock appreciation rights.

Educational Objectives

• Be able to evaluate the options businesses should consider when selecting an equity compensation plan
• Understand traps and opportunities for the business when establishing and administering equity compensation plans
• Be able to help an executive decide what to do with the equity compensation he or she has received

Who would benefit most from attending this program?

This program is designed for attorneys, accountants, and CFP® practitioners who want to learn more about equity compensation plans. Webinar participants will learn about the types of equity compensation plans and the planning ramifications for its participants. Attorneys, accountants and CFP® practitioners will also receive continuing education credit for their participation. Insurance continuing education will not be offered.

Maura Ann is a partner in the Chicago office of Baker & McKenzie and has over 30 years’ experience in executive compensation and employee benefits. Maura Ann has been recognized as a leader in her field by both Chambers USA (2018) and Chambers Global (2018) noting she is “renowned in the market for her work on a broad range of employee benefits and executive compensation matters.” Her practice focuses on executive compensation and employee benefits, especially with regard to single employer, multi-employer, and multinational benefits. She addresses operational and fiduciary issues as they arise under tax-qualified retirement plans, including employee stock ownership plans, and leads the global pensions practice. Maura Ann designs deferred compensation and equity-based incentive compensation plans, advises on issues under Code Sections 162(m), 280G, 409A, and 457A, and negotiates executive employment agreements.

Phil joined Advanced Planning at Northwestern Mutual in 2015. Prior to coming to Northwestern Mutual, he was in private practice at a regional accounting firm, Baker Tilly Virchow Krause, LLP. His practice focused on income tax planning and compliance for high net worth individuals, closely held businesses, and their owners. During law school, Phil interned with Associated Banc-Corp and the Office of Chief Counsel with the Internal Revenue Service.
